End-User License Agreement

This End-User License Agreement (“EULA”) is a legal agreement between you (“Licensee”) and BidBud, Inc. (“BidBud”) governing your right to use the BidBud software platform (the “Software”). This EULA is incorporated into and supplements the BidBud Terms of Service.
1. Grant of License
Subject to the terms of this EULA and your active subscription under the Terms of Service, BidBud grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:
- Access and use the Software via a web browser or supported interface.
- Use the Software’s features for your own internal business purposes.
- Create and manage intake forms, proposals, invoices, and client records.
This is a license to use the Software, not a sale. BidBud retains full ownership of the Software.
2. License Restrictions
You may not:
- (a) Copy, distribute, publish, or make the Software (or any portion of it) publicly available to third parties, other than as expressly provided by the Service’s sharing features.
- (b) Modify, adapt, translate, or create derivative works based on the Software.
- (c) Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law notwithstanding this restriction.
- (d) Rent, lease, lend, sell, resell, sublicense, or transfer your rights in the Software to any third party.
- (e) Remove, alter, or obscure any proprietary notices (including copyright and trademark notices) in or on the Software.
- (f) Use the Software to build a competing product or service.
- (g) Use automated scripts, bots, scrapers, or crawlers to access or interact with the Software without written permission.
- (h) Attempt to gain unauthorized access to any portion of the Software or its related systems.
3. AI-Powered Features
The Software includes AI-powered features that use Anthropic’s Claude API (“AI Features”). The following terms apply specifically to AI Features:
3.1 Nature of AI Output. AI-generated proposals, form suggestions, and other AI outputs are generated based on your inputs and are probabilistic in nature. They may contain inaccuracies, errors, or hallucinations. You are solely responsible for reviewing and approving all AI-generated content before it is used for any commercial, legal, or client-facing purpose.
3.2 Data Transmission. You acknowledge that use of AI Features requires transmitting your business data and your customers’ form submission data to Anthropic’s servers. Refer to our Privacy Policy for details.
3.3 No Professional Advice. AI Features do not constitute legal, financial, tax, or professional advice of any kind. Proposal pricing generated by AI is an estimate only. BidBud is not responsible for business losses resulting from reliance on AI-generated content.
3.4 Prohibited AI Inputs. You may not submit the following to AI Features:
- Unlawful, discriminatory, or harassing content.
- Content designed to generate illegal proposals or fraudulent documents.
- Another party’s confidential or proprietary information without authorization.
- Personal health, financial, or government ID data beyond what is strictly necessary for a service quotation.
4. Ownership and Intellectual Property
4.1 BidBud and its licensors own all right, title, and interest in the Software, including all copyrights, patents, trademarks, trade secrets, and other intellectual property rights. This EULA does not transfer any of those rights to you.
4.2 Your Content (data, proposals, forms, and other materials you create) remains your property. You retain full ownership of Your Content. BidBud’s license to Your Content is limited to what is necessary to operate the Service, as described in the Terms of Service.
4.3 BidBud may use anonymized, aggregated, non-identifiable data derived from usage of the Software to improve our products and services.
5. Updates and Changes
BidBud may update, modify, or discontinue features of the Software at any time. We will make reasonable efforts to provide advance notice of material changes. Continued use of the Software after updates constitutes acceptance. BidBud is not obligated to provide any particular version of the Software in perpetuity.
6. Term and Termination
6.1 This EULA is effective as of the date you first access the Software and continues until terminated.
6.2 This EULA terminates automatically upon termination of your subscription under the Terms of Service or if you materially breach this EULA.
6.3 Upon termination: (a) the license granted herein immediately ends; (b) you must cease all use of the Software; and (c) BidBud may delete your data in accordance with the Terms of Service and Privacy Policy.
6.4 Sections 2, 4, 7, 8, and 9 survive termination.
7. Disclaimer of Warranties
The Software is provided “as is” and “as available” without warranty of any kind. BidBud expressly disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. BidBud does not warrant that: (A) the Software will meet your requirements; (B) the Software will be uninterrupted, timely, secure, or error-free; (C) any errors will be corrected; or (D) AI-generated output will be accurate or suitable for any particular purpose.
8. Limitation of Liability
To the maximum extent permitted by applicable law, BidBud shall not be liable for any indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with this EULA or the Software, even if BidBud has been advised of the possibility of such damages. BidBud’s total cumulative liability for all claims arising out of this EULA shall not exceed the greater of (A) $100 or (B) the fees paid by you in the twelve (12) months preceding the claim.
9. Governing Law
This EULA is governed by the laws of the State of Delaware without regard to conflict of law principles, and is subject to the dispute resolution terms (including binding arbitration) set forth in the Terms of Service.
10. Entire Agreement
This EULA, together with the Terms of Service, Privacy Policy, and Acceptable Use Policy, constitutes the entire agreement between you and BidBud with respect to the Software and supersedes all prior agreements or understandings relating to the same subject matter.
